Please read these Terms of Service ("Terms") carefully before using the website wraithagent.ai or the Wraith AI sales operator platform, including related tools, dashboards, voice features, lead search features, AI-generated insights, and other related services (collectively, the "Service") operated by Wraith ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Wraith, a company organized under the laws of the State of Wisconsin, United States.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Service.

By using the Service, you represent and warrant that you meet these requirements.

If you are using the Service on behalf of a business, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" refers to both you individually and the entity you represent.

To access certain features of the Service, you may be required to create an account.

You agree to provide accurate, current, and complete information when creating your account and to keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

We reserve the right to suspend, restrict, or terminate your account if we determine, in our sole discretion, that you have violated these Terms, created risk for the Service, misused the platform, or engaged in unlawful or harmful activity.

Wraith is an AI-powered sales intelligence and lead discovery platform.

The Service helps users discover potential leads by searching publicly available content across supported third-party platforms, which may include Reddit, X/Twitter, Facebook, Discord, and other sources.

The Service may include features such as a voice-based AI assistant, lead scoring, search dashboards, saved searches, outreach draft generation, AI-generated summaries, conversation tracking, and related sales intelligence tools.

The Service is provided on an "as is" and "as available" basis.

We reserve the right to modify, update, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

4. Subscription Plans, Billing, and Payment

The Service may be offered through free plans, paid subscription plans, usage-based plans, credits, trials, or other pricing models.

Plan names, pricing, included features, usage limits, and billing terms are described on the Service's pricing page or checkout page and may be updated from time to time.

Paid subscriptions are billed in advance on a monthly, annual, or other stated billing cycle.

By purchasing a paid plan, you authorize us or our third-party payment processor to charge your selected payment method for all applicable fees, taxes, and charges.

All fees are non-refundable except as required by applicable law or expressly stated by us in writing.

We may change pricing, plan features, or usage limits from time to time. If we make a material price change to an active paid subscription, we will provide reasonable advance notice. Your continued use of the Service after the change becomes effective constitutes acceptance of the updated pricing.

You are responsible for all applicable taxes, duties, or governmental charges associated with your use of the Service.

• Reverse engineer, decompile, copy, or attempt to extract the source code of the Service
• Use bots, scrapers, scripts, or automated tools to access the Service in a way that exceeds normal permitted usage
• Upload, transmit, or distribute viruses, malware, harmful code, or malicious content
• Interfere with or disrupt the Service, servers, networks, or security systems
• Use the Service to violate the rights of any third party
• Use the Service in a way that violates the terms or policies of Reddit, X/Twitter, Facebook, Discord, or any other third-party platform

We reserve the right to investigate suspected violations and take appropriate action, including suspending or terminating accounts, removing content, limiting access, or reporting activity to law enforcement where appropriate.

7. User Responsibility for Outreach and Compliance

The Service may help identify potential leads, summarize public conversations, score lead intent, and generate suggested outreach drafts.

You are solely responsible for how you use any lead information or AI-generated content.

You are responsible for ensuring that your outreach, sales activity, marketing activity, and communications comply with all applicable laws and rules, including anti-spam laws, telemarketing laws, privacy laws, consent requirements, and third-party platform messaging policies.

This may include, where applicable, compliance with laws such as CAN-SPAM, TCPA, GDPR, CCPA/CPRA, and other state, federal, or international laws.

Wraith does not guarantee that any outreach message is legally compliant, appropriate, accurate, or effective for your specific situation.

8. AI-Generated Content and Limitations

The Service uses artificial intelligence to generate lead scores, summaries, keyword suggestions, outreach drafts, recommendations, and conversational responses.

You acknowledge and agree that:

• AI-generated content may be inaccurate, incomplete, outdated, misleading, or inappropriate
• Lead scores and intent assessments are estimates only and are not guarantees
• The Service may incorrectly interpret public posts, comments, or user intent
• You are responsible for reviewing, editing, verifying, and approving AI-generated content before using it
• You should not rely on the Service as your sole source of truth for business, legal, financial, or compliance decisions
• The Service does not guarantee that any lead will convert into a customer
• The Service does not guarantee any specific business outcome, revenue result, sales result, or marketing performance

You are solely responsible for decisions made based on information or outputs generated by the Service.

9. Third-Party Data and Platform Terms

The Service may retrieve, display, summarize, or analyze publicly available data from third-party platforms, including Reddit, X/Twitter, Facebook, Discord, and other supported sources.

This data may be accessed through public APIs, authorized data providers, search tools, or other lawful sources.

We do not own or control third-party platform content. We make no warranties regarding the accuracy, availability, completeness, legality, or timeliness of third-party data.

Your use of third-party data obtained through the Service must comply with the terms, policies, and restrictions of the applicable third-party platforms.

We are not affiliated with, endorsed by, or sponsored by Reddit, X Corp., Meta Platforms, Discord Inc., or any other third-party platform unless expressly stated. All third-party names, logos, trademarks, and service marks are the property of their respective owners.

You may submit, upload, enter, or create content within the Service, including notes, keywords, saved searches, business information, target customer descriptions, outreach drafts, and other materials ("User Content").

You retain ownership of your User Content.

By submitting User Content to the Service, you grant Wraith a limited, non-exclusive, worldwide, royalty-free license to use, store, process, display, and transmit that User Content solely as necessary to provide, maintain, secure, and improve the Service.

You represent and warrant that you have all rights necessary to submit your User Content and that your User Content does not violate any law, contract, privacy right, intellectual property right, or third-party right.

You are responsible for the accuracy, legality, and appropriateness of all User Content you submit.

11. Intellectual Property

The Service, including its software, design, branding, features, functionality, workflows, dashboards, AI assistant experience, text, graphics, logos, and other original content, is owned by Wraith or its licensors and is protected by intellectual property laws.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on the Service without our prior written consent.

The Wraith name, brand, logos, and related marks may not be used without our prior written permission.

Nothing in these Terms gives you ownership of the Service or any Wraith intellectual property.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that we collect, use, and process information as described in our Privacy Policy.

13. Confidentiality

You may receive access to non-public information about the Service, including beta features, pricing, product plans, technical information, or business information.

You agree not to disclose confidential Wraith information to any third party without our prior written consent.

This does not apply to information that is publicly available through no fault of your own or that you are legally required to disclose.

You agree not to interfere with or compromise the security, integrity, or operation of the Service.

You may not attempt to gain unauthorized access to any account, database, system, server, or network connected to the Service.

You agree to notify us promptly if you discover or suspect any security vulnerability, unauthorized access, or misuse of the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

• (A) The amount you paid to Wraith in the 12 months before the claim arose; or
• (B) $100.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless Wraith, its owners, officers, directors, employees, contractors, agents, affiliates, service providers, and licensors from and against any claims, damages, liabilities, losses, judgments, costs, expenses, or fees, including reasonable attorneys' fees, arising out of or relating to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of any third-party platform terms or policies
• Your User Content
• Your outreach, marketing, sales activity, or communications
• Your violation of any third-party rights, including privacy, publicity, or intellectual property rights

18. Termination

We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, created risk for the Service, failed to pay required fees, or engaged in unlawful, abusive, or harmful activity.

We may also terminate or discontinue the Service, or any part of it, at any time.

You may stop using the Service at any time. You may request account termination by contacting [email protected].

Termination does not entitle you to a refund of prepaid fees unless required by law or expressly stated by us in writing.

Upon termination, your right to use the Service will immediately cease.

Sections relating to intellectual property, privacy, user responsibility, disclaimers, limitation of liability, indemnification, dispute resolution, and general provisions will survive termination.

These Terms are governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to conflict of law principles.

20. Dispute Resolution

Before filing any legal claim, you and Wraith agree to first attempt to resolve any dispute informally through good-faith negotiation.

If a dispute cannot be resolved informally, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules.

The arbitration shall take place in Wisconsin unless the parties agree otherwise. The arbitration shall be conducted in English.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Either party may seek temporary or preliminary injunctive relief in court to prevent immediate and irreparable harm.

21. Class Action Waiver

You agree that any dispute with Wraith must be brought on an individual basis only.

You waive any right to participate in a class action, class arbitration, collective action, representative action, or consolidated proceeding.

22. Changes to These Terms

We may update these Terms from time to time.

When we update the Terms, we will revise the effective date above. For material changes, we may provide additional notice, such as an email notification, in-app notice, or prominent notice on our website.

Your continued use of the Service after the updated Terms become effective means you accept the updated Terms.
